TERMS AND CONDITIONS

The following definitions are used in these Terms and Conditions:

“You” –            The user of Reach OnAir’s services, the account holder and broadcaster.
“Us” –              Reach Broadcasting Limited trading as Reach OnAir, also referred to as “Reach”.
“the Station”       Reach OnAir, broadcasting at ReachOnAir.com and all services relating to Reach OnAir.
“a Show”          A minimum of one hour booking.
“a Service”       An ‘add-on’ element on top of a membership subscription.
“the Site”          ReachOnAir.com and ReachRoom.com

In order to broadcast an Internet radio show for transmission on Reach OnAir, you must first register for either a Free or Loyalty account on Reach OnAir.com. You agree that your use of the Site is subject to the terms and conditions listed below. You further confirm and represent that you have read and reviewed these Terms and Conditions and that you agree to be bound by the Terms and Conditions.

Booking a show:

• You cannot book more than three hours in any one day unless stated in special offers run by the station.
• You cannot link shows up over the midnight hour if exceeding more then three hours, unless stated in special offers run by the station.
• You may not use an automated/manually activated machine/software/tool to book on Reach OnAir.

Signing up for a FREE account (Applies to FREE accounts only):

• There is one account per person only
• Free accounts can be reduced or revoked at anytime without reason and/or notice.
• Only the account holder is permitted to broadcast under this account
• Co-presenting is not allowed with LOYALTY members
• Prize giveaways are prohibited
• Users must only use services made available to them by Reach OnAir.

Signing up for a LOYALTY account (Applies to LOYALTY accounts only):

• Only the account holder is permitted to broadcast under this account
• Prize giveaways are permitted as long as it has been approved with management first (e-mail shows@reachonair.com for more information)
• Sponsorship can be obtained for your show as long as the ‘sponsorship add-on’ has been subscribed to and the signed letter (supplied by Reach OnAir) has been returned to us.
• The account fee is paid on a monthly basis and may be cancelled at any time (however a refund cannot be issued for the previous billing cycle).
• Services offered by Reach OnAir may be added or removed at any time. However at all times at least 1 months notice will be issued by us where possible.
• Services may be upgraded, altered or improved by us at any time.

Signing up for both accounts

• Paying a Reach OnAir membership fee does not entitle you to broadcast a certain number of shows per week/month/annum. The fee entitles you to have the opportunity to broadcast shows based on available credits in your account or available station tokens. Credits or tokens issued will be set on a monthly basis by Reach OnAir.
• To broadcast you require a functional Internet connection and correctly configured software. We are not responsible for your ability to broadcast or reliability of your connection and software. Due to the nature of the Internet there may be interruptions to your broadcasting that are not the fault of You or Us, e.g. Internet routing issues.
• A membership fee cannot be refunded once paid unless the service is totally unavailable for broadcasting a live show for over 168 hours in a month (25% as a collective).
• The up time guarantee only relates to the ability to broadcast a radio show live. Other services provided by Reach OnAir have an up/downtime limit of 50% of a month, unless prior notice (of at least 1 month) is given. The majority of services on Reach OnAir can only be accessed if you are a LOYALTY member. Re-imbursement may be made in extra broadcasting credits should this be the case.
• If you wish to cancel your membership fee, you must cancel your PayPal subscription yourself via your PayPal account. You may cancel at any time, there is no minimum subscription period.
• Reach OnAir may cancel or terminate a users membership at any time without prior notice. Any refund will be at the discretion of Reach OnAir management.
• In the event of terrorism, natural disaster or Internet/technical/electrical problems outside of Reach OnAir's control, Reach Broadcasting Ltd have no obligation to continue the service. Appropriate refunds will be upheld as stipulated.
• All software provided by Reach OnAir is done so in good faith and has been fully tested to make sure it will function correctly without fault. Reach OnAir cannot be held responsible for any crashes, loss of data or changes that occur to the users computer as a direct or indirect result of the installation and use of the software provided.
• You are not permitted to use Reach OnAir’s name, URL, trademarks, copyrights or other right or properties in connection with "spam" email messages or unsolicited postings. For the purposes of this Agreement, "spam" has the meaning generally understood among Internet users, and includes without limitation "unsolicited electronic mail advertisements".

Broadcasting a show:

• You cannot broadcast more than three tracks by the same artist in any given three hour period.
• A show cannot be used ‘solely’ for commercial benefit.
• You cannot put over negative views or statements about Reach OnAir, it’s members and/or associated parties.
• You cannot make any libelous views or statements about third-parties, not associated directly or indirectly with Reach OnAir.
• Information quoted from a third party (websites, newspapers etc.), must be credited.
• Airing tracks and/or theme tunes that are not directly covered by “PRS for Music” is prohibited.
• You may not broadcast simulcasted shows; all shows must be exclusive to Reach OnAir.
• Illegal, explicit and/or derogatory topics are prohibited to be broadcast.
• Foul language (e.g. swearing) is prohibited. This also includes lyrics in parodies and songs
• The account holder is held fully responsible for the content of the show and any legal action that arises from it.
• You must log a playlist of your show once it has been broadcast. The deadline is exactly 48 hours after your first logging e-mail is sent. This is the end of the day after your broadcast. Failure to log a show will result is one credit being deducted from your account. Continually failing to log will result in your account, including any services on it, being suspended
• If your show is sponsored, you are responsible for the content of the show and the agreements with the sponsors. A user with a sponsored show will be required to make sure their show does not become a paid advertisement and Reach OnAir may warn a user if they feel the sponsorship announcement and/or jingles are to prominent.

Services:

• If no payment is received for any service(s), Reach OnAir reserves the right to cancel any upcoming shows and suspend the account until full payment is made.
• If a cancellation of ANY service has been made either by yourself or PayPal - an immediate suspension of that service will occur. This means that although you can broadcast any show booked before the cancellation, you will not have access to the members area and/or Reach Room until a valid subscription is in place.
• If no payment is received for any service(s), seven days after due date, the account will be deleted.
• An account can be suspended if advertising is used within the show but no letter has been returned or sponsorship ‘add-on’ has been purchased.
• By signing up for a Reach OnAir e-mail account you agree that you will not use it for spam or other illegal purposes.
• You are responsible for backing up your data. There is no e-mail service uptime guarantee.
• Reach OnAir POP3/IMAP e-mail accounts can take up to 72 working hours to become active. We will send the details of the new account to your currectly registered e-mail address.
• Reach OnAir POP3/IMAP e-mail accounts come with 500MB of storage space. We reserve the right to delete all/part of this data if an account exceeds this limit.

Reach Room:

• Illegal, explicit and/or derogatory images and/or text will result in your Reach Room account being suspended.
• Overdue payments for membership subscriptions will result in your Reach Room account being suspended.
• Failure to pay seven days after the payment due date will result in your Reach Room being permanently deleted.
• A Reach Room account cannot be re-activated after it’s been deleted
• We cannot be held responsible for content uploaded on your Reach Room. This includes text and images.
• We reserve the right to change/modify/delete content without notice.

Imaging:

• Imaging supplied by Reach OnAir is for use on Reach OnAir’s streams only (Imaging must not be used in a Podcast (outside Reach OnAir), re-broadcast elsewhere and/or used in any media), unless otherwise stated.
• Imaging downloaded via the members area is for your account only, do not share with other members.
• Imaging bought from Reach OnAir can be used outside of Reach OnAir only if the Reach OnAir’s brand name isn’t included, unless otherwise stated.

General:

• Reach OnAir is a service made for enjoyment and/or educational purposes.
• Reach OnAir reserves the right to cancel/ban/suspend any account and/or show without notice.
• With respect to your Internet Radio Shows, you grant Reach OnAir the royalty-free, non-exclusive, perpetual right and licence throughout the world to transmit, perform publicly, display publicly, perform digitally, distribute and syndicate your Internet Radio Programs in whole or in part, for any and all purposes, to the extent permitted by law, and the right to grant to third parties the right to do any or all of the foregoing. Reach OnAir shall have the royalty-free, non-exclusive, perpetual right and licence throughout the world to transmit and permit its end users, and other Internet Web site operators and their end users, to access your Internet Radio Shows via ReachOnAir.com and any other Web sites.
• Reach OnAir shall not be liable for any unauthorised uses of your Internet Radio Programs by end users or any other third parties.
• Reach OnAir reserves the right to re-broadcast or use as it wishes, any audio sent or broadcast to us, this includes test streams.
• Reach OnAir reserves the right to change in part or in full any part of it’s service without notice.
• Reach OnAir reserves the right to change and/or modify these terms without notice at anytime.

The things we have to say…

• When you post, stream or upload content to the Site (in any area), you authorise and direct us to make such copies as we deem necessary in order to facilitate the posting and storage of the user content on the Site. By posting user content to any part of the Site, you automatically grant us an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide licence (with the right to sublicense) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part) and distribute such user content for any purpose (commercial, advertising, or otherwise) on or in connection with the Site or the promotion thereof, to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorise sublicenses of the foregoing.
• You may remove your User Content from the Site at any time. If you choose to remove your User Content, the license granted above will automatically be revoked unless it is already in use by Reach OnAir in a planned, archived or currently active campaign, then this will have no time deadline.
• Payment on Reach OnAir is provided by PayPal. Reach OnAir cannot be held responsible for discrepancies resulting in the failure of service from PayPal.
• You agree not to post, upload or transmit to or through the Site any sound recordings that:
• are obscene, fraudulent, indecent, discourteous, racially offensive or abusive;
• defame, abuse, harass or threaten others;
• contain any viruses, Trojan horses, worms, time bombs, cancelbots, or other disabling devices or other harmful component intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information;
• advocate or encourage any illegal activity;
• violate the privacy of individuals, including other users of the Site; or
• violate any applicable local, state, national, or international law
• Reach OnAir in its sole discretion shall determine your compliance with the foregoing rules, and reserves the right to delete from the Site without prior notice any material that it deems to be non-complying or otherwise objectionable for any reason. Reach OnAir may take any action with respect to your Internet Radio Shows, or any other material posted by you on the Site, if Reach OnAir believes, in its sole and exclusive judgment, that such Internet Radio Shows and/or other material may result in liability being imposed upon Reach OnAir or may cause Reach OnAir to lose (in whole or in part) the services of its ISPs or other suppliers.
